These Terms of Service ("Terms") constitute a legally binding agreement between Trend Axis, LLC ("Trend Axis," "we," "our," or "us"), a Virginia limited liability company, and any individual or business entity ("Client," "you," or "your") that accesses or uses any Trend Axis product or service.
By engaging Trend Axis, purchasing a service, or signing a service agreement, you agree to be bound by these Terms in their entirety. If you do not agree, do not use our services.
1. Services Covered
These Terms apply to all Trend Axis products and services, including but not limited to:
- The Dispatcher — AI-powered SMS response, intent triage, appointment booking, and CRM logging service ($2,997 setup + $997/month)
- AI Dropshipping System — automated product sourcing, order management, and fulfillment automation platform
- Any additional AI automation, workflow, communication, or consulting services provided by Trend Axis, LLC
2. Account & Eligibility
- You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your business.
- You agree to provide accurate, current, and complete information during onboarding and to promptly update such information as needed.
- You are responsible for maintaining the confidentiality of any credentials or access provided by Trend Axis.
3. AI-Generated Content — Hallucination Disclaimer
⚠️ IMPORTANT: Trend Axis services are powered by artificial intelligence (AI) and large language models (LLMs). AI systems may occasionally produce inaccurate, incomplete, or misleading outputs — commonly referred to as "hallucinations."
By using any Trend Axis AI-powered service, you expressly acknowledge and agree that:
- AI-generated responses, messages, recommendations, or content may contain errors and should not be relied upon as professional legal, financial, medical, or regulatory advice.
- Trend Axis is not liable for any direct, indirect, incidental, or consequential damages arising from AI-generated inaccuracies.
- It is your responsibility to review, verify, and approve any AI-generated content that is material to your business operations before acting on it.
- Human escalation paths must be maintained for time-sensitive or high-stakes communications. Trend Axis will configure escalation logic where applicable, but the final responsibility for business decisions remains with the Client.
4. 10DLC Compliance Obligations
📋 Clients using the SMS Dispatcher service are legally responsible for providing accurate business information required for A2P 10DLC carrier registration.
The following obligations apply to all Clients using Trend Axis SMS services:
- Accurate Information: You must provide your legal business name, Employer Identification Number (EIN), physical business address, and a live website URL with a compliant Privacy Policy and Terms of Service.
- Carrier Compliance: You agree to operate all SMS campaigns in compliance with applicable carrier guidelines, the Cellular Telecommunications Industry Association (CTIA) guidelines, and the Telephone Consumer Protection Act (TCPA).
- Opt-In Consent: You are responsible for obtaining and documenting proper opt-in consent from all end users who will receive SMS messages through your Trend Axis-powered system.
- Prohibited Content: You may not use Trend Axis SMS services to send spam, unsolicited commercial messages, phishing content, or any content prohibited by carrier guidelines or applicable law.
- Liability for Violations: Any fines, penalties, or account suspensions resulting from your non-compliance with 10DLC or TCPA requirements are your sole responsibility. Trend Axis is not liable for carrier-imposed sanctions arising from Client misrepresentation or misuse.
5. Fees, Billing & Payment
- Setup Fee: A non-refundable setup fee is due prior to service commencement. For The Dispatcher, this is $2,997.
- Monthly Recurring Fee: Monthly fees ($997/month for The Dispatcher) are billed on the same calendar date each month following setup completion.
- Pass-Through Costs: Third-party costs incurred on your behalf — including Twilio SMS fees, 10DLC registration fees (~$15–$19 one-time + $2–$10/month per campaign), Make.com subscription fees, and OpenAI API usage — are either billed as pass-through costs or included in your monthly fee as specified in your individual service agreement.
- Late Payments: Payments not received within 7 days of the due date may result in service suspension. Accounts more than 30 days past due may be terminated.
- Taxes: You are responsible for any applicable sales, use, or VAT taxes required by your jurisdiction.
6. Cancellation & Termination
- Client Cancellation: You may cancel your monthly service with 30 days' written notice sent to support@trendaxis.com. Service continues through the end of the current billing period.
- Setup Fees: One-time setup fees are non-refundable under any circumstances, as they represent completed work (configuration, integration, and system buildout).
- Termination by Trend Axis: We reserve the right to suspend or terminate your service immediately for: (a) non-payment, (b) violation of these Terms, (c) misuse of SMS or AI services, or (d) illegal activity.
- Data Upon Termination: Upon termination, you may request an export of your business data within 30 days. After 30 days, data may be permanently deleted.
7. Intellectual Property
- All workflows, automation templates, AI prompts, system architectures, and proprietary configurations created by Trend Axis remain the intellectual property of Trend Axis, LLC.
- Clients retain ownership of their own business data, brand assets, and content.
- Clients may not reverse-engineer, resell, sublicense, or replicate Trend Axis systems without prior written consent.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during the course of the service relationship. This obligation survives termination of services for a period of 2 years.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Trend Axis's total cumulative liability for any claims arising from or related to our services shall not exceed the total fees paid by you in the 3 months immediately preceding the claim.
- Trend Axis is not liable for lost profits, lost revenue, loss of data, business interruption, or any indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.
- Trend Axis is not responsible for service outages caused by third-party providers (Twilio, Make.com, OpenAI, Google, etc.), carrier delays, or force majeure events.
10. Indemnification
You agree to indemnify, defend, and hold harmless Trend Axis, LLC and its members, managers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of our services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) inaccurate information provided during onboarding or 10DLC registration; or (d) any third-party claims arising from your business operations.
11. Warranties & Disclaimers
Trend Axis provides its services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service.
We do not warrant that our AI systems will be error-free, that SMS delivery will be guaranteed, or that automation workflows will function without occasional interruption due to third-party platform changes.
12. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
- Any disputes shall first be subject to good-faith negotiation between the parties for a period of 30 days.
- Unresolved disputes shall be submitted to binding arbitration in Richmond, Virginia under the rules of the American Arbitration Association (AAA).
- Each party waives any right to a jury trial in connection with any dispute arising from these Terms.
13. Modifications to These Terms
Trend Axis reserves the right to update these Terms at any time. Material changes will be communicated via email with at least 14 days' notice before taking effect. Continued use of our services after the effective date of updated Terms constitutes your acceptance.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with any executed Service Agreement and our Privacy Policy, constitute the entire agreement between you and Trend Axis, LLC regarding our services and supersede all prior discussions, representations, or agreements.
